What is a Contract Attorney?

A contract attorney drafts, manages, and executes contracts for their clients. Among their responsibilities, a contract lawyer may help their clients with intellectual property concerns or prepare case strategies. They also handle real estate transactions and draft settlements or contracts.

What is a Contract?

A contract is a legal agreement between individuals and/or businesses. It delineates specific obligations and terms regarding transactional engagement. A contract must include whatever consequences will arise if the agreement is broken. The area of contract law pertains to the creation and enforcement of contracts. Principally, a valid contract must contain the offer, acceptance, and consideration between two parties. The intended declaration of the agreement must relate to goods or services. The contract should specify who can accept the terms based on eligibility. Words, actions, or performance of acceptance must be included in the contract. Acceptance usually comes in the form of a written statement that agrees to the offer with no changes. In essence, that statement of acceptance relays that the involved parties agree to the terms and to enter into the contract.

Do I Need a Contract Attorney?

You may require a contract attorney if you need to create a contract. The format of a legal contract and/or agreement has to be specific so that it is binding. A contract lawyer can assist with drafting and execution of a contract so that it will be enforceable in a legal context and admissible in a court of law, without loopholes. If you already have a draft of a contract, it may be in your best interest to have a contract attorney review the document prior to signing.

A contract lawyer can also work to ensure that all of the legal obligations in the contract are fulfilled. A solid contract drastically reduces the probability of a legal issue due to the clarity and specificity of the terms outlined in the contract. If one of the parties who signed a given contract breaches those terms, a contract attorney may then take legal action to resolve any possible dispute. Ideally, the contract an attorney drafts and executes is designed to prevent entanglement in a legal dispute. In fact, using a contract attorney prior to signing a contract will significantly diminish the likelihood of a legal battle.

Furthermore, a contract attorney will advise their clients on rights and limitations based on a review of an existing contract or contracts. They are capable of amending contracts following a negotiation. If a contract is breached, a contract lawyer can serve as a mediator between two parties and/or represent you in court, if necessary. Additionally, they can assist with renewal of contracts prior to their date of expiration.

Contract Lawyers Protect Your Interests

A contract attorney will protect the interests of you and your business at all costs. By effectively communicating with their clients and/or other involved parties, they define the terms of a contract so that you understand what it entails. If any disputes arise based on a contractual violation, a contract lawyer develops solutions to those disputes to steer clear of a battle in court. If there is any change in a given state’s policy that affects a client’s contract, which sometimes occurs, they conduct research, locate the updated version of a particular law, and then advise their clients accordingly.

Many people get lost when trying to understand the legalese or legal language within a contract. Contract attorneys fully comprehend the complexity of legalese and can break down the meaning of a contract in a way that you understand. It is undeniably beneficial that you understand any contract that you are entering into. If any misinterpretation or omission of terms occurs, you may end up forming an inaccurate assumption regarding that contract. Which means, a costly legal dispute may materialize. Relying on a contract lawyer for consultation in these matters will propel your business forward. If there are any loopholes in a contract, a contract attorney can close them.

You do not want to leave yourself open to any legal liability. Legalese may obfuscate the meaning of a given set of terms in a contract, so having an attorney will permit you to execute a contract that offers comprehensive protection of your interests.

Contracts Safeguard Your Business

Contracts function as a key aspect of the foundation of any business. Getting the documentation of the contract correct upon the first drafting and execution is very important because it prevents misinterpretation. Often enough, businesses rely on verbal agreements that are not written down, or have outdated contracts that are difficult to enforce.
